These Terms of Use (the “Terms”) govern your access to and use of https://laurent.capital (the “Site”), operated by Laurent Capital (“Laurent Capital,” “we,” “us” or “our”). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy and Important Disclosures, which are incorporated by reference. If you do not agree, please do not use the Site.

Purpose of the Site

The Site provides general information about Laurent Capital and the mergers and acquisitions advisory services we offer to B2B companies. Content on the Site is provided for informational purposes only. It does not constitute an offer to sell or a solicitation of an offer to buy any security, and it is not investment, legal, tax or accounting advice. Please read our Important Disclosures for further detail.

No Client Relationship

Your use of the Site, or your submission of an inquiry through it, does not create an advisory, fiduciary or other client relationship with Laurent Capital. Such a relationship arises only upon the execution of a written engagement letter signed by both parties, and then only on the terms set out in that letter.

Permitted Use

We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your own informational, non-commercial purposes. In using the Site, you agree not to:

  • Use the Site in violation of any applicable law or regulation.
  • Submit false, misleading or impersonated information, or information you do not have the right to share.
  • Copy, reproduce, republish or distribute Site content except as expressly permitted.
  • Use automated means, including bots, scrapers or crawlers, to access or extract content from the Site, other than standard search engine indexing.
  • Attempt to gain unauthorized access to the Site, its servers or related systems, or interfere with its operation or security.
  • Transmit malicious code, unsolicited commercial messages or other harmful material.

Intellectual Property

The Site and its content, including text, graphics, illustrations, logos, the Laurent Capital name and the overall design, are owned by or licensed to Laurent Capital and are protected by United States and international copyright, trademark and other intellectual property laws. Except for the limited license granted above, no right, title or interest in any Site content is transferred to you.

Information You Submit

You are responsible for the accuracy of any information you submit through the Site and represent that you are authorized to provide it. We will handle inquiries discreetly and in accordance with our Privacy Policy. However, unless and until a confidentiality agreement or engagement letter is in place, we cannot accept an obligation of confidentiality with respect to unsolicited information, and we ask that you not send material non-public, proprietary or highly sensitive information through the contact form.

The Site may contain links to third-party websites or resources. These links are provided for convenience only. We do not endorse and are not responsible for the content, products, services or practices of any third party, and your use of third-party websites is at your own risk.

Limitation of Liability

To the fullest extent permitted by law, Laurent Capital and its principals, employees, affiliates and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data or business opportunity, arising out of or relating to your access to, use of or reliance on the Site, whether based on contract, tort, negligence, strict liability or otherwise, even if advised of the possibility of such damages. Indemnification

You agree to indemnify and hold harmless Laurent Capital and its principals, employees, affiliates and agents from any claims, losses, liabilities and expenses, including reasonable attorneys’ fees, arising out of your violation of these Terms or your misuse of the Site.

Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Santa Clara County, California, and you consent to the personal jurisdiction of those courts.

General

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms, together with the Privacy Policy and Important Disclosures, constitute the entire agreement between you and Laurent Capital regarding the Site and supersede any prior understanding on that subject. They do not modify any engagement letter or other written agreement between you and Laurent Capital.

Changes to These Terms

We may revise these Terms from time to time by posting an updated version on this page and changing the “Last updated” date. Your continued use of the Site after any revision constitutes acceptance of the revised Terms.
