Our approach

Four disciplines, applied to every engagement, that decide whether a transaction closes on the terms first agreed.

A fountain pen resting on a bound purchase agreement
1

Preparation before marketing

Most value is lost before the first buyer call: in add-backs that do not survive a quality of earnings review, customer concentration nobody explained, or a management team that has never presented without the founder.

We start every sell-side mandate by diligencing the company the way a buyer will. Problems found in week two are a footnote. The same problems found in week twenty are a price cut.

2

The whole market, not a list of friends

We build each buyer universe from the ground up: strategic acquirers by product adjacency and geography, private equity platforms by thesis and recent add-ons, family offices and independent sponsors by mandate.

Our platform scores every name and records why it is or is not a fit, so the client can see who was contacted, who was excluded and why.

3

Competitive tension, managed carefully

A well-run process gives each serious party the information and access it needs, on a timetable that keeps them moving together. Bids are compared on certainty, structure and terms as well as headline price.

Where a negotiated sale with one party is the better route, we say so, and we keep credible alternatives warm until signing.

4

Terms that hold through closing

Price is set at the letter of intent; value is decided in the purchase agreement. We negotiate the working capital peg, escrow, indemnity, earn-out definitions and employment terms with the same attention as the multiple.

We stay through closing and the first months of transition, when the commitments made in diligence have to be kept.

What clients can expect

  • A written timetable and weekly status report for the life of the mandate.
  • Full visibility of the buyer universe, including who was excluded and why.
  • A partner on every buyer call, management meeting and negotiation.
  • Fees weighted to the outcome, agreed in writing before work begins.
